1. Eligibility and Voluntary Participation

• Participation in the Gallaxia NFT Trade-In Program is voluntary and available only to lawful owners of NFTs who are at least 18 years of age and have full rights to transfer such NFTs.
• By initiating a trade-in, you represent and warrant that you are the lawful owner of the NFT being traded and that you voluntarily choose to transfer it to Gallaxia in exchange for $GLX tokens.
• You understand and agree that all NFT trade-ins are final, permanent, and irreversible once confirmed on-chain.

2. Transfer and Ownership

• Upon confirmed transfer of the NFT to Gallaxia's designated wallet address or smart contract, all rights, title, and interest in the NFT are permanently transferred to Gallax Token Limited.
• You acknowledge that Gallaxia becomes the sole lawful owner of the NFT and may retain, display, utilize, destroy, or redistribute the NFT at its sole discretion.
• Gallaxia has no obligation to return, compensate, or otherwise provide restitution for any NFT transferred.

3. Rewards and Consideration

• In exchange for your NFT, you will receive a quantity of $GLX tokens as determined by Gallaxia's published reward schedule at the time of trade-in.
• Reward amounts are fixed at the time of confirmed transaction and are not subject to change, cancellation, or refund.
• You acknowledge that receipt of $GLX tokens may have tax implications, and you are solely responsible for any taxes, reporting, or legal obligations arising from your participation.

4. Intellectual Property and User Representations

By transferring any NFT, you represent and warrant that:

• You are the lawful owner or authorized holder of the NFT;
• The NFT's content does not infringe or violate any third-party copyrights, trademarks, publicity rights, or other intellectual property rights; and
• The NFT is not associated with unlawful or infringing content.

You grant Gallax Token Limited a worldwide, royalty-free, transferable, non-exclusive license to use, reproduce, display, modify, or distribute the NFT and its associated content for the purpose of operating, promoting, or developing the Gallaxia platform.

Gallaxia is not affiliated with or endorsed by any third-party NFT brands or collections, and any mention of NFT collection names is for informational purposes only.

5. IP Indemnity and Liability

You agree to indemnify, defend, and hold harmless Gallax Token Limited, its affiliates, officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:

• Any NFT you trade or transfer to Gallaxia;
• Any claim that such NFT or its content infringes third-party intellectual property or proprietary rights; or
• Any breach of these Terms.

Gallaxia shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to the NFT trade-in process, reward issuance, or use of the Gallaxia platform.

6. Right to Refuse or Remove NFTs

Gallaxia reserves the right to refuse, remove, or block any NFT trade-in that it reasonably believes:

• Violates these Terms, applicable law, or third-party rights;
• Contains offensive, illegal, or infringing material; or
• Poses reputational or technical risk to the Gallaxia ecosystem.

Gallaxia may withhold or cancel reward issuance for any trade-in under investigation or dispute.

7. Program Modifications

• Gallaxia may modify, suspend, or terminate the NFT trade-in program at any time, with or without notice.
• Any changes to these Terms take effect upon posting to the Gallaxia website, and continued participation constitutes acceptance of the updated Terms.

8. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the British Virgin Islands.

You agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Gallaxia Trade-In Program shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands.
